Makedo Earth Month 2025 Pledge – Terms and Conditions

These Terms and Conditions ("Terms") apply to Makedo’s ("Makedo", "we", "our", or "us") Earth Month 2025 Pledge (the “Pledge”), an environmental and social responsibility initiative taking place during the month of April 2025.
1. Overview of the Pledge
During the Pledge Period (defined below), Makedo will donate 1% of Net Sales generated from its official e-commerce website (https://www.make.do) to Evidence Action’s Safe Water Now program, which supports clean and affordable access to drinking water in vulnerable communities.
2. Pledge Period and Applicable Time Zone
The Pledge is valid from:
Start: 12:00 AM, April 1, 2025
End: 11:59 PM, April 30, 2025
Time Zone: Australian Eastern Standard Time (AEST – UTC+10:00)
All qualifying transactions must be initiated and completed within this period, based on the local time in Melbourne, Australia, regardless of the customer’s location or local time.
3. Eligibility and Geographic Scope

Only purchases made through Makedo’s official website at (https://www.make.do) during the Pledge Period are eligible.

Transactions processed through third-party retailers, marketplaces, or distributors (such as Amazon and physical stores) are excluded.

The pledge applies to customers worldwide, as long as the purchase meets the above criteria and is made within the specified timeframe.
4. Calculation of Net Sales
For the purposes of this Pledge, the donation amount will be calculated based on Net Sales, as reported through Makedo’s Shopify platform. This definition is consistent with standard Shopify reporting practices.
Net Sales refers to the total value of all completed purchases made through Makedo’s website during the Pledge Period after the following have been deducted:

Discounts, promotional offers, or coupon codes applied at checkout

Refunded, cancelled, or returned orders
-
Applicable taxes, including GST, VAT, or sales tax

Shipping and handling charges
-
Gift card redemptions and gift card purchases
5. Currency Conversion and Donation Disbursement

All net sales will be converted to United States Dollars (USD) to calculate the final donation.

Makedo will use a single exchange rate to convert the total net sales amount to USD. The exchange rate will be:

Selected at Makedo’s sole discretion, sourced from a reputable financial institution or payment provider, and applied at or shortly after the end of the pledge period.

The final donation amount will be calculated based on the converted net sales in USD and transferred to Evidence Action no later than June 30, 2025.

Makedo is not liable for fluctuations in currency values or associated fees between the transaction time and the donation payment.
6. Transparency and Public Disclosure
Makedo may publish or share the total donation amount, date of disbursement, and confirmation or acknowledgment from the recipient organisation. This is solely for transparency and does not represent a tax or financial disclosure to any third party.
7. Customer Participation and Tax Implications

Customers do not need to act to participate; all eligible purchases during the Pledge Period are automatically included.

Customers will not receive tax receipts or claimable deductions from Makedo or the recipient charity.

This initiative does not establish a legal donor-beneficiary relationship between individual customers and the recipient organisation.
8. Modifications or Termination
Makedo reserves the right to modify, suspend, or terminate the Pledge at any time due to:

Legal or regulatory requirements

Technical or operational challenges

Force majeure events

Fraud or abuse of the pledge system
Changes will be communicated on Makedo’s official platforms and will not affect calculated donations.
9. Governing Law and Jurisdiction
These Terms are governed by and interpreted according to the laws of:

Victoria, Australia (primary jurisdiction)

Delaware, United States – for transactions originating from the U.S.

Ontario, Canada – for transactions originating from Canada.
Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the competent courts in the applicable region based on the transaction's origin.

Makedo Conditions of Upload

These Conditions of Upload ("Conditions") govern the submission of images and videos ("Content") to Makedo ("Makedo", "we", "our", or "us") through our platform. By uploading Content, you ("User", "you", or "your") agree to comply with these Conditions in full.
1. Ownership and Permissions

User Representations: By uploading Content, you represent and warrant that you:

Are the sole owner of the Content, or have obtained all necessary rights and permissions to submit it to Makedo.

Have not infringed or violated any intellectual property rights in uploading the Content.

Grant of License: by uploading content, you grant Makedo a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and publicly display the content in any format or media, including but not limited to:

Social media platforms

Newsletters and email campaigns

Online and printed promotional materials
-
Community galleries and other Makedo-owned digital spaces
2. Content Involving Minors

Consent Requirement: If the Content includes individuals under the age of 18 ("Minors"), you affirm that:

You have obtained explicit and informed consent from the Minor’s parent or legal guardian for their appearance in the Content and for its public use by Makedo.

Best Practice: It is recommended that such consent be documented in writing and retained for your records.
3. Content Standards

Suitability: Content must be suitable for all audiences and must not:

Contain indecent, offensive, or inappropriate material
-
Promote hate speech, harassment, or discrimination
-
Include sensitive or defamatory content directed toward individuals or groups
-
Makedo’s Discretion: Makedo reserves the right to reject, edit, or remove any Content at its sole discretion if it does not meet these standards.
4. Privacy and Personal Information

Data Protection: Users must not include personally identifiable information in the uploaded Content, such as:

Names, addresses, email addresses, or contact numbers
-
School uniforms, identifiable locations, or documents with private details
-
Privacy Safeguards: Makedo may blur, crop, or reject Content that includes such details to protect the privacy of individuals, particularly Minors.
5. $1.50 USD Donation Per Valid Upload (Earth Month 2025)
As part of Makedo’s Earth Month 2025 initiative, we will donate $1.50 USD to Evidence Action’s Safe Water Now program for each valid and approved Content submission received during the following period:
- Start: 12:00 AM, April 1, 2025
- End: 11:59 PM, April 30, 2025
- Time Zone: Australian Eastern Standard Time (AEST – UTC+10:00)
Donation conditions:

The Content must comply with all sections of these Conditions and be approved by Makedo for publication.

Donations apply to unique uploads only. Duplicate or substantially similar uploads by the same user may not qualify.

Submissions must be received through official channels (e.g., designated upload page or campaign platform).

There is a donation cap (1000 uploads), and the maximum number of donation-eligible uploads will be communicated on the campaign website or upload page.

Makedo made the $1.50 USD donation. Uploading Content does not make the user a donor or entitle the user to a tax receipt or direct confirmation from the recipient organisation.

Makedo will disburse the total pledged donation to Evidence Action no later than June 30, 2025.
6. Compliance with Laws
You agree that your Content and your participation in the upload process will comply with all applicable laws and regulations, including:

Copyright and intellectual property laws

Privacy and data protection laws
-
Child protection and consent requirements (where applicable)
7. Indemnification
You agree to indemnify, defend, and hold harmless Makedo, its affiliates, officers, employees, and agents from any claims, liabilities, losses, damages, or expenses (including legal fees) arising out of:

Any breach of these Conditions

Claims of copyright or privacy violations

Any content-related disputes with third parties
8. Modifications to Conditions
Makedo may modify, update, or discontinue these Conditions at any time. Any changes will take effect immediately upon being posted to the Makedo website. Continued submission of Content constitutes acceptance of any updates to the Conditions.
9. Governing Law and Jurisdiction
These Conditions are governed by and interpreted in accordance with the laws of Victoria, Australia, without regard to conflict of law principles. All disputes will be subject to the exclusive jurisdiction of the courts in Melbourne, Victoria.
